The Internet as a tool for monitoring by shareholders of open capital companies in the Information Society

This paper analyzes the relevance of the effective participation of shareholders in the supervision and monitoring of the corporate activities of publicly traded companies, with special emphasis on the possibility of using information available on the Internet as a facilitator of these practices. In Brazil, auditing must take place within the parameters determined by law, which requires a legal action for the presentation of books proposed by minority shareholders, among other requirements. The inspection by the shareholder must take place within the parameters determined by law, such as in the lawsuit for the presentation of books proposed by minority shareholders, and the worldwide computer network may allow this analysis to be facilitated by the tools available on the web. The methodology used is based on the analytical technique, which evaluates the formal aspects of the systematization of legal norms, focusing on the legal order and their internal relations, in addition to the hermeneutic approach. The survey concludes that the rules in force in Brazil to regulate the activities of corporations require companies to make information available to investors and the market, in addition to determining that a series of other information are provided to the supervisory bodies, especially the Comissão de Valores Mobiliários (CVM). In this context, the Internet can serve as a driving force in responding to legal requirements and increasing the transparency of business acts.
